1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of KakehashiX, including our website, platform, services, tools, content, community features, and related functions, collectively referred to as the "Platform".

KakehashiX is owned and operated by VenturesLink Pte. Ltd. ("KakehashiX", "VenturesLink", "we", "us", or "our"). By accessing, registering for, or using the Platform, you agree to these Terms. If you do not agree, you must not use the Platform.

These Terms apply to all users, including Community Members, Candidates, Companies, Employers, administrators, and visitors, each referred to as a "User".

2. Eligibility

You must be at least 18 years old to create an account or use the Platform. The Platform is not directed to children or minors, and we do not knowingly collect personal information from individuals under 18. We may take reasonable steps to verify a User's age and may suspend or remove accounts found to belong to individuals under 18.

You must not be prohibited from using the Platform under the laws of your jurisdiction, must not be subject to applicable sanctions restrictions, and must have legal capacity to enter into binding terms.

3. Platform Role and Market Scope

KakehashiX is a professional community, talent-discovery, and opportunity-matching platform that helps Japanese-speaking professionals, Candidates, Companies, Employers, and organisations create profiles, discover opportunities, communicate, share information, and build professional connections.

The Platform may include profiles, community features, opportunity posts, application or expression-of-interest tools, candidate discovery, direct messaging, content, language and certification fields, and matching or recommendation features.

The Platform is intended to operate primarily as a self-service technology, community, discovery, and information platform. Unless expressly agreed in a separate written agreement, KakehashiX provides technology, community, matching, and information tools only. We do not act as an employer, recruitment agency, employment agency, manpower supplier, immigration adviser, legal adviser, tax adviser, or representative of any Candidate, Company, or Employer.

Unless expressly stated in a separate written agreement, KakehashiX does not select Candidates for Employers, select Employers for Candidates, negotiate employment or commercial terms, make hiring decisions, arrange employment, sponsor visas, or act as an agent or representative for any User.

Any separately agreed recruitment, staffing, advisory, managed hiring, immigration, relocation, consulting, or business-support service must be governed by a separate written agreement and, where required, delivered only through appropriately licensed or compliant entities.

KakehashiX is operated from Singapore and currently has an active presence in Indonesia. Japan is a future target market. Japan-specific services may be subject to additional terms and local compliance requirements.

Where required by applicable Indonesian electronic system, consumer-protection, employment, recruitment, and personal-data-protection laws, VenturesLink will maintain applicable registrations, filings, notices, platform controls, and compliance measures. We may limit, suspend, or modify Platform features in Indonesia where necessary to meet legal, regulatory, operational, or user-safety requirements.

4. Accounts and User Types

To access certain features, you may need to create an account. You must provide accurate, current, and complete information, keep it updated, protect your login credentials, and remain responsible for all activity under your account.

Community Members may participate in professional discussions, access content, connect with other Users, and take part in the KakehashiX community.

Candidate accounts are for individuals seeking career opportunities, professional exposure, networking, or career-related content. Community and Candidate access is free.

Company and Employer accounts are for organisations, businesses, employers, recruiters, hiring managers, or authorised representatives. Companies and Employers may create company profiles, post opportunities, review applications, search for Candidates, contact Users, and use matching or discovery features, subject to these Terms and any applicable paid-service terms.

Companies and Employers must ensure that any person creating or using an account on their behalf has proper authority to represent the relevant organisation. We may request reasonable information to verify company identity, authority, ownership, representative status, or compliance standing.

We may review, approve, reject, suspend, or remove accounts, job posts, opportunity posts, or related content at our discretion, especially where they create legal, security, reputational, operational, or user-safety risk.

5. Fees and Paid Services

KakehashiX does not charge Community Members or Candidates for standard access, including creating an account, creating a profile, participating in community features, browsing content or opportunities, applying for or expressing interest in opportunities, or receiving messages through the Platform.

No User may represent that KakehashiX charges Candidates or Community Members placement fees, registration fees, application fees, interview fees, or similar candidate-paid fees for standard Platform access.

KakehashiX may charge Companies, Employers, organisations, or business Users for paid services, including employer plans, opportunity posting, promoted listings, premium visibility, candidate search tools, company verification, employer branding, consulting support, market-support, platform-support services, or other business services agreed separately in writing.

Paid services are subject to the pricing, billing, tax, renewal, cancellation, and refund terms presented at purchase or agreed separately in writing. Unless otherwise stated or required by law, paid fees are non-refundable. Applicable taxes, including Singapore GST and Indonesia VAT/PPN where required, may be added.

6. No Employment, Hiring, or Engagement Guarantee

KakehashiX does not guarantee interviews, job offers, employment, contracts, sponsorship, visas, relocation, training, commercial engagement, candidate suitability, employer reliability, or hiring outcomes.

Any employment, contract, internship, training, visa, immigration, relocation, or commercial arrangement is strictly between the relevant Users or third parties.

Information about visas, work permits, sponsorship, relocation, or taxation is general in nature or provided by Users. It is not immigration, legal, or tax advice. Users should consult qualified advisers before acting.

Users must conduct their own due diligence before applying, hiring, interviewing, engaging, contracting, sharing information, or entering into any arrangement with another User.

7. User Content

You retain ownership of content, information, documents, messages, comments, images, profiles, CVs, job posts, opportunity posts, company descriptions, and other materials you submit or make available through the Platform, referred to as "User Content".

By submitting User Content, you grant KakehashiX and VenturesLink a worldwide, non-exclusive, royalty-free licence to host, store, display, reproduce, process, translate, analyse, transmit, and otherwise use such User Content as reasonably necessary to operate, provide, improve, secure, and support the Platform.

This licence includes sharing User Content with other Users and service providers where reasonably necessary for Platform features, such as profile visibility, opportunity matching, search results, direct messaging, application management, community participation, analytics, security, support, and service improvement.

Use of your User Content in external marketing or promotional materials in a manner that identifies you personally requires your separate consent, except for previews or excerpts inherent to how Platform features work, such as profile previews in search results.

You represent that you have the necessary rights to submit your User Content, that it is accurate and not misleading, and that it does not violate law, third-party rights, or these Terms.

We may remove, restrict, moderate, or disable User Content that we consider unlawful, misleading, harmful, abusive, discriminatory, fraudulent, infringing, spam-like, exploitative, or otherwise inappropriate.

8. Conduct and User Obligations

Users must not post or share content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, hateful, discriminatory, exploitative, false, misleading, fraudulent, infringing, spam-like, or damaging to the security, stability, or reputation of the Platform.

Users must not scrape, harvest, copy, or misuse User data; spam, harass, scam, or mislead others; upload malware or bots; bypass security; reverse engineer or misuse Platform features; collect Candidate or Company information for unauthorised purposes; post fake jobs or profiles; request unlawful payments from Candidates; or use the Platform for illegal recruitment, trafficking, forced labour, exploitative work, or deceptive hiring practices.

Users must not use the Platform for forced labour, human trafficking, debt bondage, deceptive recruitment, unlawful placement fees, fake jobs, fake training schemes, document withholding, passport withholding, or any arrangement that exploits Candidates, workers, job seekers, students, trainees, or other Users.

Companies, Employers, recruiters, training providers, agents, and other Users must not request, collect, deduct, or facilitate unlawful, misleading, hidden, or unauthorised fees from Candidates in connection with opportunities discovered through the Platform. This includes improper placement fees, document-processing fees, training fees, visa fees, deposits, kickbacks, or deductions unless clearly disclosed, lawful, and separately agreed outside the Platform where permitted by applicable law.

Companies and Employers must ensure that their company information, opportunity posts, hiring processes, compensation details, working conditions, visa-related statements, communications, and data-handling practices are accurate, lawful, non-discriminatory, and compliant with applicable laws, including Indonesia's Law No. 13/2003 on Manpower, Singapore's Employment Act, and any other applicable employment, anti-discrimination, and recruitment regulations.

Companies and Employers must not misuse Candidate data or share it without proper authority or consent. They must handle personal data in accordance with applicable data-protection laws, including Indonesia's Law No. 27/2022 on Personal Data Protection, Singapore's Personal Data Protection Act 2012, and any other applicable privacy or data-protection laws.

Candidates and Community Members must not submit false CVs, work history, education, language ability, certifications, identity information, or documents; impersonate others; misuse Company, Employer, or User information; harass or deceive others; or use the Platform for spam, scams, unrelated sales activity, or unlawful conduct.

9. Matching, Verification, Translation, and Automated Tools

The Platform may provide matching suggestions, recommendations, search results, translations, automated classifications, profile insights, verification indicators, JLPT or credential fields, or other technology-supported features.

These tools are for convenience only and may be incomplete, inaccurate, outdated, or based on limited information. They should not be treated as guarantees, professional advice, employment recommendations, legal conclusions, immigration advice, or definitive verification of any User, Candidate, Employer, credential, role, opportunity, or document.

JLPT or credential information is generally provided by Candidates. KakehashiX may perform verification checks, but any badge, label, status, or indicator means only that our standard internal check was performed as of a stated date. It is not a guarantee of authenticity, currency, validity, suitability, communication ability, professional competence, or hiring outcome.

Users should independently verify information before making hiring, employment, business, immigration, financial, legal, or personal decisions.

Companies and Employers remain responsible for their own hiring decisions and must not rely solely on automated tools, matching suggestions, rankings, labels, badges, or recommendations when making decisions that may materially affect a Candidate.

10. Privacy and Data Protection

Your use of the Platform is governed by our Privacy Policy, which explains how we collect, use, disclose, transfer, store, and protect personal information.

We process personal information in accordance with applicable data-protection laws, including Singapore's Personal Data Protection Act 2012, Indonesia's Law No. 27/2022 on Personal Data Protection where applicable, and, in future, Japan's Act on the Protection of Personal Information where applicable.

Your information may be processed for account creation, identity and profile management, community participation, Candidate and Company discovery, opportunity matching, application or expression-of-interest management, communication, Platform security, analytics, service improvement, marketing where permitted, and legal or regulatory compliance.

You may manage marketing preferences and opt out of non-essential marketing at any time through your account settings or via the unsubscribe link in our communications.

Singapore Users have rights under the PDPA, including access, correction, and Do Not Call protections. Indonesian Users have rights under applicable data-protection law, including access, correction, deletion, objection, and data portability, subject to legal conditions and exceptions. The Privacy Policy describes how to exercise these rights.

Companies, Employers, and other Users who receive personal data through the Platform must handle it lawfully, securely, and only for the purpose for which it was provided, unless the data subject provides separate consent.

Companies and Employers are responsible for their own handling of Candidate and User personal data obtained through the Platform. They must use such data only for lawful hiring, professional, business, or opportunity-related purposes, maintain appropriate security safeguards, restrict access to authorised personnel, and delete, anonymise, or return such data when no longer required or when legally required.

Companies and Employers act as independent data controllers, or equivalent responsible parties under applicable law, for personal data they access, download, store, export, disclose, or otherwise process from the Platform. They must not sell, misuse, disclose, or transfer Candidate or User personal data to unauthorised third parties.

11. Intellectual Property and Third-Party Services

The Platform, including its design, software, databases, trademarks, logos, branding, content, workflows, features, and original materials, is owned by or licensed to VenturesLink Pte. Ltd. and is protected by applicable intellectual property laws.

"KakehashiX" and related names, logos, marks, designs, slogans, and brand elements are trademarks, service marks, or brand assets of VenturesLink or its affiliates. Where applicable, certain marks may be registered or pending registration in relevant jurisdictions.

We grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Platform for its intended purpose in accordance with these Terms.

You may not copy, reproduce, modify, distribute, sell, lease, reverse engineer, scrape, extract, commercially exploit, or create derivative works from the Platform without our prior written consent.

The Platform may contain links or integrations to third-party websites, tools, services, content, or resources. We do not control and are not responsible for third-party services. Your use of them is at your own risk and may be subject to separate terms and policies.

If you believe content on the Platform infringes your copyright, trademark, or other rights, please contact us at kakehashi-x@ventures-link.com with enough information for us to identify the content and the rights allegedly infringed. We may remove content and terminate repeat infringers in accordance with applicable law.

12. Suspension and Termination

We may suspend, restrict, or terminate your access to the Platform if you breach these Terms, create legal or user-safety risk, provide fraudulent or misleading information, misuse the Platform, are inactive, or where required by law, regulator, court order, government authority, or Platform changes.

Where reasonable and lawful, we will provide prior notice and an opportunity to cure. However, we may act immediately without prior notice where necessary to protect Users, the Platform, legal compliance, security, or our legitimate business interests.

You may stop using the Platform at any time by closing your account or contacting us. On termination, your profile and account will be deactivated, generally within 30 days, subject to applicable retention requirements.

Personal data will be handled under our Privacy Policy and applicable data-protection laws. Some information may be retained where required by law, for legitimate business purposes such as fraud prevention, dispute resolution, compliance, audit, security, or in anonymised form.

Sections relating to fees owed, User Content licences to the extent necessary, intellectual property, third-party services, disclaimers, limitation of liability, indemnity, governing law, dispute resolution, notices, and general provisions survive termination.

13. Disclaimers and Limitation of Liability

The Platform is provided on an "as is" and "as available" basis.

To the maximum extent permitted by applicable law, VenturesLink Pte. Ltd., operating the KakehashiX platform, and its affiliates, directors, officers, employees, contractors, service providers, agents, and representatives disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of accuracy, reliability, availability, merchantability, fitness for a particular purpose, non-infringement, and suitability for any employment, hiring, business, commercial, or professional outcome.

We do not guarantee that the Platform will be uninterrupted, error-free, secure, or free from harmful components. We also do not guarantee the conduct, identity, reliability, legality, suitability, quality, accuracy, or availability of any User, Candidate, Employer, opportunity, job post, communication, content, transaction, or third-party service.

To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunity, goodwill, data, employment opportunity, hiring opportunity, reputation, commercial advantage, or anticipated savings, whether arising in contract, tort, negligence, statute, or otherwise, even if we have been advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to these Terms or the Platform in any twelve-month period shall not exceed the greater of: (i) the amount actually paid by you to us for paid services during the twelve months immediately preceding the event giving rise to the claim; or (ii) USD 100.

For Candidates and Community Members who use the Platform only on a free basis, our total aggregate liability shall not exceed USD 100.

Nothing in these Terms excludes or limits liability for: (i) fraud or fraudulent misrepresentation; (ii) wilful misconduct or gross negligence; (iii) death or personal injury caused by our negligence; (iv) liability that cannot be excluded or limited under Singapore's Unfair Contract Terms Act, the Consumer Protection (Fair Trading) Act, Indonesia's Law No. 8 of 1999 on Consumer Protection, or any other applicable consumer protection law; or (v) any other liability that cannot lawfully be excluded or limited under applicable law.

The disclaimers, exclusions, and limitations of liability in this Section 13 apply for the benefit of, and may be invoked by, VenturesLink Pte. Ltd. and each of its affiliates, directors, officers, employees, contractors, service providers, agents, and representatives.

14. Indemnity

To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless KakehashiX, VenturesLink, and their directors, officers, employees, contractors, partners, affiliates, and agents from and against claims, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising from or relating to:

1. your use or misuse of the Platform;
2. your breach of these Terms;
3. your User Content;
4. your violation of law or third-party rights;
5. your recruitment, hiring, employment, training, business, or commercial activities;
6. your misuse, unlawful disclosure, or improper handling of personal data;
7. any unlawful, misleading, exploitative, or discriminatory opportunity, communication, or process you create or facilitate; or
8. any interaction, dispute, agreement, or arrangement between you and another User or third party.

We may assume the exclusive defence and control of any matter subject to indemnification, in which case you agree to cooperate with us. You must not settle any claim in a way that imposes liability, admission, or obligation on KakehashiX or VenturesLink without our prior written consent.

15. Changes to the Platform or Terms

We may modify, suspend, or discontinue all or part of the Platform at any time.

We may also update these Terms. If a change is material, we will provide at least 30 days' advance notice by email, in-Platform notice, or posting on the Platform. Non-material changes take effect when posted.

Your continued use of the Platform after the effective date constitutes acceptance. If you do not agree, you should stop using the Platform and may close your account before the effective date.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of Singapore, without regard to conflict-of-laws principles.

Nothing in these Terms excludes or limits mandatory rights or protections available to Users under applicable local laws, including Indonesian law where applicable.

Before formal proceedings, the parties will attempt in good faith to resolve any dispute by negotiation for at least 30 days after written notice.

For Business Users, including Companies and Employers, unresolved disputes shall be finally resolved by arbitration administered by the Singapore International Arbitration Centre under the SIAC Rules then in force. The seat of arbitration is Singapore, the tribunal consists of one arbitrator, and the language is English.

For Candidate and Community Member Users using the Platform on a free basis, disputes are subject to the non-exclusive jurisdiction of the courts of Singapore, without prejudice to mandatory rights to bring proceedings in the courts or consumer-dispute bodies of your country of habitual residence, including Indonesia, such as BPSK or other competent forums, where required by law.

17. Notices and General Provisions

We may give notice by email, in-Platform notification, or posting on the Platform.

If any provision is invalid or unenforceable, the remaining provisions remain in force and the affected provision will be modified to the minimum extent necessary to be enforceable.

These Terms, together with the Privacy Policy and any feature-specific or paid-service terms, constitute the entire agreement regarding the Platform.

No waiver is effective unless in writing.

You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, reorganisation, sale of assets, corporate restructuring, transfer of business, or by operation of law, on notice to you where required.

Neither party is liable for failure or delay caused by events beyond reasonable control, except that payment obligations are not excused.

Section headings are for convenience only and do not affect interpretation.

These Terms may be made available in English and Bahasa Indonesia. For Users in Indonesia, the Bahasa Indonesia version is provided for compliance and accessibility purposes. To the fullest extent permitted by applicable law, the English version shall prevail in the event of inconsistency, except where Indonesian law mandatorily requires the Bahasa Indonesia version to prevail.
